The role:
The Company Secretarial Assistant will have daily contact with clients and colleagues in relation to:
• Ensuring statutory compliance for 250+ companies (via Blueprint Desktop software) • Maintaining company records and statutory registers and liaising with appointed Registrars / Registrar of Companies (Companies House) whenever appropriate • Providing company secretarial support to the firm internationally as required • Attending and minuting client Board meetings • Drafting of 2006 compliant Articles of Association, board minutes and resolutions
The assistant will also facilitate the legislation of documents, drafting of process Agent appointments and International Company Searches. There will be ample opportunity to make an impression to both clients and colleague at all levels. Participation in corporate transactions ensures plenty of scope and variety to the role.
Duties:
The department provides a range of corporate facilities including international company searches, registered office and company secretarial facilities, company formations, notarisation and legalisation services and agent for service of process in the UK. The majority of Company Secretarial work is compliance based, but there are also specific one-off assignments which may be required often against tight deadlines.
The successful candidate must have: • A sound company secretarial and administrative background preferably from a legal or accounting practice • Excellent communication, organisational and technical skills • A meticulous eye for detail
The applicant must; • Be used to operating in a highly regulated environment • Be able to display a genuine and up to date knowledge of corporate governance and company legislation • Be willing to take on responsibility and develop the role as opportunities arise • Be self-motivated and able to work on their own initiative, without supervision, and as part of a team • Be comfortable liaising at all levels both via electronic means and face to face • Be flexible with the ability to work to tight deadlines • Able to act as a direct point of contact to clients • Ensure that companies are aware of any annual filing requirement approaching, • Liaise with PSLs in relation to precedent documents • Assist trainees and assistants in corporate transactions • Update statutory records using BluePrint (desktop version) • Maintain deadline reports for companies whom we act • Contribute articles to corporate publications • Ensure documents are legalised and apostilled correctly in order that they are accepted by the foreign authorities • Investigate both domestic and international companies using Companies House, Dun & Bradstreet, or ICC
Candidate Specification:
Essential: • Strong MS Office Skills • Familiarity with the Companies Act 2006 • Previous experience in a company secretarial department • Previous experience using Companies House, Dun & Bradstreet, ICC • Exposure to Blueprint or similar company secretarial software
Desirable: • ICSA qualification or similar • Preparation of board packs including minute taking • Working knowledge of legalisation process
