The Opportunity:

Ashurst's Corporate Transactions team work across some of the most complex and high-profile matters including takeovers, IPOs, business and asset acquisitions and disposals, equity capital markets work, restructuring and recapitalisation transactions, joint venture arrangements, ASX listing rule work and corporate governance.

Due to continued growth in our team, we are now looking for a Lawyer or Senior Associate with a minimum of 4 years' PAE to be based in our Sydney office.

In this role, you will:

  • Have overall day to day responsibility for matters, and will proactively progress these matters with appropriate partner support;
  • Advise clients on the Australian legal requirements and apply those requirements to provide clients with cogent, commercial and strategic advice;
  • Draft and review legal documents and agreements, including (by way of example) merger implementation agreements, pre-bid agreements, sale and purchase agreements, subscription agreements, and underwriting agreements, as well as disclosure documents such as bidder's and target's statements, scheme booklets and prospectuses;
  • Lead negotiations with counterparties and liaise with corporate and accounting advisers in the course of large and complex corporate transactions, undertaken in the context of tight timeframes;
  • Attend business development meetings and networking activities;
  • Contribute to and refine department know-how; and
  • Nurture and mentor junior lawyers and provide leadership in conjunction with the Partners and your colleagues.


Desired Skills and Experience:

  • 4+ years' commercial experience gained within a top-tier or mid-tier firm, or in-house.
  • Strong experience in cradle-to-grave commercial transactions, ideally gained within, or with some exposure to, the energy industry.
  • Well-developed verbal and written communication skills, and innovative drafting skills.
  • Confidence to lead effective negotiations with clients and counterparties.
  • Strong ability to communicate with clients in order to understand their needs and how best to meet them. You will also have the ability to assist clients in arriving at practical and cost-effective solutions.
  • Excellent attention to detail and the ability to identify inconsistencies that indicate problems with quality of work or a misunderstanding of clients' needs.
  • Ability to build team morale and motivate team members, contributing to the creation of a positive work environment and to assist with training and development.
  • A proactive, positive and energetic approach with a commitment to providing excellent service and a desire to interact with the market and build client relationships.
