Team overview

Ashurst's growing securitisation practice forms part of a wider Global Markets group. It sits alongside and works closely with Ashurst's debt capital markets and derivatives and structured products practices.

Mortgage finance

We are highly experienced in all aspects of mortgage securitisation, acting for arrangers, lenders, issuers and investors in public RMBS as well as warehousing transactions. We have experience with establishment of new securitisation platforms for some of the largest issuers in the market and have deep product knowledge of owner occupied mortgages, buy to let, second charge, bridging and HELOC products as well as equity release and lifetime mortgages.

CRE

We advise on a number of innovative securitisation and structured finance transactions backed by commercial real estate located in the UK and Europe

Auto Finance

We have one of the most active auto ABS teams in the European market, advising a number of captive and independent lenders as well as investors and arrangers in securitisations of auto loans, lease receivables, hire purchase, PCP and residual values. Our team has been on the forefront of new structures to securitise salary sacrifice and subscription products related to electric vehicles.

Structured private credit and specialty finance

We advise borrowers, issuers, sponsors, asset managers, and credit funds in respect of asset-backed financing solutions for a wide variety of specialty finance asset classes, including consumer credit (UPLs, credit cards, point of sale and auto finance), Fintech, SME lending and fund finance (including sub-line securitisation). Transactions in this area often call for creative thinking and our team works closely with Ashurst private equity, private funds and funds finance teams in order to implement innovative and first of their kind asset-backed structures.

Portfolio disposals

Ashurst's leading international portfolio transaction practice regularly advises on portfolio acquisitions, forward flow structures and the subsequent securitisations of acquired assets. Ashurst has a market leading track record in loan portfolio transactions and was one of the first law firms to advise in the European portfolio market. The practice offers a full service to market participants acquiring or disposing of portfolios of mortgage loans (residential and commercial), consumer debt and non-performing exposures to a number of leading protagonists in the market.

We are an entrepreneurial team that has experienced significant growth and expansion of market presence since establishment of the securitisation practice in 2018 and is committed to continuing this trajectory through both organic and lateral growth.

Job overview

You will work primarily with partners in London who specialise in various

types of securitisation and structured finance transactions across different

asset classes.

You must be willing to be flexible and should be enthusiastic about working in new product areas. The job offers exposure to multiple different clients, sectors and associated financing techniques.

The role will offer the opportunity to work with sponsors, arrangers, debt investors, corporates, banks, government and credit enhancement providers.

The role will also involve working closely with other groups within Ashurst, including corporate, restructuring, banking, financial regulatory and tax.

Essential skills and experience

  • Experience of advising on structured finance transactions preferred but not essential
  • Experience of drafting complex documents
  • Good organisational skills and experience in transaction management
  • Excellent academic track record
  • Excellent client relationship skills and experience of business development
  • Confidence in conducting commercial negotiations with counterparties
  • A collegiate team-player who works effectively with colleagues at all levels

Recent work

OCTOPUS ELECTRIC VEHICLES

On a £550 million debt securitisation facility from Lloyds Bank to fund electric vehicles, accelerating total EV funding to £1.2 billion. This was judged "private securitisation of the year" at the Global Capital European Securitisation Awards 2024.

ALDERMORE BANK

As originator in respect of the £381,136,3000 notes issued by Oak No.3 plc, a special purpose vehicle backed by a portfolio of prime mortgages originated by Aldermore. This was Aldermore's first public STS transaction.

BARCLAYS, BNPP, LLOYDS

Advised the lead managers on the issuance of notes by Lanebrook Mortgage Transaction 2020-1 plc, 2021-1 plc, 2022-1 plc and 2023-1 plc in connection with the public securitisations by Shawbrook Bank Limited of BTL mortgage loans originated by The Mortgage Lender Limited and the Holbrook 2023-1 securitisation of owner occupied mortgages originated by The Mortgage Lender and on the Ealbrook 2022-1 and 2024-1 securitisations of owner-occupied (including help to buy) and buy-to-let loans originated by Bluestone Mortgages Limited acquired by Shawbrook Bank Limited.

HAMPSHIRE TRUST BANK

Advised as originator on their inaugural public securitisation of a £300m portfolio of buy-to-let mortgages (Winchester No.1 plc). PARAGON BANK

Advised as originator on their Paragon Mortgages (No. 29) public securitisation of buy-to-let mortgages OPTIO INVESTMENT PARTNERS

Advised innovative credit platform, Optio Investment Partners (Optio) in relation to a multi-year, multi-jurisdiction auto asset financing arrangement with Kennedy Lewis Investment Management (KLIM) and KKR. Optio entered into a partnership with Volvo Car Corporation (Volvo Cars) in 2021.

SANTANDER UK PLC

On the 2025-1, 2.24-2, 2024-1, 2023-1 and 2022-1 144A and Reg S public residential mortgage securitisations under its Holmes securitisation programme as well as regular updates to the Holmes and Fosse mortgage master trust programmes.

SYNDICATE OF EUROPEAN INVESTMENT BANKS

As senior lenders in the securitisation of a pool of capital call facilities sponsored by Ares Alternative Credit Management. This transaction marks one of the first syndicated private wet funded securitisation of capital call facilities as an asset class in Europe.

KEYSTONE PROPERTY FINANCE LIMITED

On its public securitisations of BTL mortgage loans through Hops Hill No.4, Hops Hill No.3 plc, Hops Hill No.2 plc and Hops Hill No.1.

UK FINANCIAL INSTITUTION

As investor in an innovative securitisation of equity release mortgages.

PANELVIEW DAC

Advised as seller in the public-re-financing of the Portman Square 2021-NPL1 DAC transaction, which was renamed to Portman Square 2023-NPL1 DAC. The transaction was a public NPL securitisation backed by a portfolio comprising private residential and BTL mortgage non-performing loans secured over properties located in Ireland, England, Wales, Scotland and Northern Ireland originated by AIBMB, AIB, AIBF, EBS, EBSMF, Haven and AIB Group (UK) plc or an affiliate.
