The Role
We are looking for a junior solicitor with strong corporate
experience to work with the corporate lead on corporate transactional
and advisory work across Capsticks' main sectors: health, care and
social housing. The corporate team manages a range of transactions including:
private to private mergers and acquisitions (largely in private
health sectors where we act for most of the private hospital groups
and in care sectors where we act for the full range of private
providers from single care home operators to chain operators);
public private M&A type transactions between NHS providers and
private providers and public sector M&A (NHS to NHS; service and
business transfers; private patient unit transactions);
corporate aspects of financing in the health and social housing sectors.
The corporate team is frequently called on to advise on transactional
structuring from a specialist health regulatory perspective where our
team works closely with market leading specialists in health
regulation. We also advise US and magic circle firms on the health
regulatory aspects of corporate transactions.
In addition the team works with the Capsticks GP and dental team and
there will therefore be opportunities to work on associated transactions.
The team also provides extensive corporate advisory and transactional
advice to all sectors in the context of:
joint venture subsidiary transactions;
corporate finance; share issues; share buy-backs;
corporate reorganisations;
corporate authorisations.
Corporate advice is in the context of all corporate forms from the
traditional companies limited by shares and limited liability
partnerships but extending to Community Benefit Societies and public
corporate forms such as NHS Foundation Trusts.
Given the nature of the work we are looking for someone who is able
to apply key principles across a range of situations to analyse and
address the commercial requirements of the client. The successful
candidate is likely to have a range of corporate and commercial
experience and will need to have an interest in maintaining and
developing a range of skills across the breadth of transactional and
advisory work undertaken in the department.
Skills set
The successful candidate will have:
a corporate commercial and or finance legal background;
a good knowledge of company law including a good understanding of
the basics of corporate authorisations and filings for Companies Act
2006 companies and LLPs;
an interest in the healthcare and social housing sectors;
experience of supporting mergers and acquisitions including due
diligence exercises;
experience of and an interest in commercial legal drafting;
a positive and proactive approach to work, an ability to manage
clients and to drive transactions with support appropriate to their level.
