This role is an important position at the heart of Clyde & Co's
governance operations. The General Counsel Office, within which this
role sits, is critical to the overall success of the firm, being
involved in the firm's strategy and decision making, how it achieves
its aims, and ensuring that all activities undertaken comply with
legal, ethical and regulatory requirements.
In-house lawyers often have a broad skill set, which may include
corporate law, finance, governance, strategy and sound corporate
secretarial practice, and they will advise the firm on these key
areas, providing support to the Global Head of Legal - General Counsel
Office, General Counsels, Management Board, Global Practice Heads,
COOs and Partners who lead offices and regions to ensure the firm's
structure is fit for purpose.
As part of this position, you will be able to collaborate with the
Firm's Senior Management team on key projects and workstreams. This is
your opportunity to join a global law firm and be one of the key
corporate in-house advisers, assisting with corporate initiatives and
transactions across the global firm and helping to design, implement
and manage firmwide processes that will make a positive difference.
Key Responsibilities
You will take an important role in advising the firm on its corporate
legal structure, evolving the firm's current set-up to conform with
its future plans and working closely with other business services
departments, particularly Finance and Tax. You will coordinate
activities, manage projects and implement procedures and processes to
answer our business needs.
Providing in-house legal and company secretarial support for all
firmwide structural and re-organisation activities and initiatives,
e.g. mergers, establishing corporate structures and offices in new
jurisdictions, documenting relationships with association law firms
in different global regions.
Assessing, updating and drafting the constitutional/control
agreements in various parts of the firm's organisational structure
and ensuring those are commercially fit for purpose.
Assisting the Global Head of Legal - General Counsel Office with
corporate transactions incidental to the firm's strategic decisions,
including preparing and reviewing the necessary legal and regulatory
documentation to effect the strategy.
Instructing appropriate external legal counsel as required, in
jurisdictions where we wish to operate to ensure local regulatory
compliance in the relevant region and managing overall spend.
Assisting with the development of best-in-class corporate
governance procedures and guidance, to ensure the firm's compliance
with all aspects of partnership law, the Companies Act 2006 and
relevant filing requirements.
Drafting, negotiating and executing key documentation relating to
the partners of Clyde & Co, including those documents relating
to the adherence, withdrawal and relocation of partners.
Drafting, coordinating and executing corporate authority
documents, such as board meeting minutes, shareholder resolutions
and member resolutions.
Liaising with key stakeholders within the firm on the approval and
execution of documentation.
Managing a variety of ad hoc projects and workstreams. Reviewing
and responding to ad hoc queries from across the business which fall
outside of the scope of our Risk Lawyers.
Essential Skills & Experience
Legally qualified with minimum 2 years PQE with a corporate legal
background and proven technical ability as well as knowledge and
understanding of company secretarial processes, with experience
gained within a law firm or professional services firm.
Educated to degree level or above.
Excellent written and verbal communication and interpersonal skills.
Strong drafting skills in relation to all types of corporate transactions.
Ability to work independently and as part of a team with a
proactive and responsive attitude.
Attention to detail and well-organised approach with the ability
to prioritise work in a fast-paced environment.
Diplomacy skills, alongside acting with both integrity and discretion.
