The Role

The ideal candidate will have a strong corporate transactional background, gained within a large-scale international or regional top tier UK firm. Due to the varied type of corporate work we have to offer, applicants will have a broad background encompassing mergers & acquisitions, joint ventures/shareholder arrangements, private equity/venture capital transactions and corporate restructuring.

The Team

Clyde & Co has forged a reputation as a go-to firm for corporate transactions in the Middle East. With 18 partners and 50 lawyers/case handlers, Clyde & Co has the largest corporate team in the Middle East for transactional advisory and foreign direct investment (FDI) work, advising clients on local and international legal matters. The team advises multinational corporates (MNCs), regional conglomerates, family businesses, government entities, and private equity and venture capital funds on complex, cross-border and innovative M&A, JVs, FDI, corporate structuring, governance, succession planning, and tax matters. The team has broad expertise advising on regulatory matters related to corporate/M&A transactions. In the past 18 months, the size of the corporate team in the region has grown by at least 25%.

Key Responsibilities

  • Advise clients on mergers and acquisitions, joint ventures/shareholder arrangements and equity investments with minimal supervision;
  • Prepare and negotiate transaction documents including term sheets, share/asset purchase agreements, disclosure letters, joint venture/shareholder agreements, investment agreements, subscription agreements and ancillary corporate documents;
  • Conduct legal due diligence and supervise preparation of due diligence reports on legal matters;
  • To work as part of a regional Corporate team and support partners where necessary.
  • Prepare legal advice and opinions;
  • Closely work with clients, partners and maintain/develop excellent relationships with clients;
  • Project manage the delivery of services to complex challenging clients;
  • Supervise and support more junior members of the Corporate team;
  • Identify and exploit business development opportunities through managing existing clients and targeting new ones;
  • Ensure projects are executed in accordance with the firm's methodologies, guidance and professional standards;
  • Adhere to budgets and ensure client's expectations are managed;
  • Drafts articles and publications;
