The Department
The Remuneration and Incentives team sits with the Employment
department at Mishcon de Reya but also works very closely with the
Corporate department, especially on transactional matters and on
early-stage business support. (We therefore don't mind if you
qualified in a Corporate, Employment or Tax department previously,
provided you have the relevant experience in relation to advice on
reward matters.)
As a firm, Mishcon has grown significantly in recent years,
organically and through acquisitions and our current recruitment needs
are based on further growing and building up additional capacity to
support the very varied client base.
We do not segregate our team into those who face into M&A deal
transactions and those who support other advisory work. Instead we've
a cohesive team of experienced experts who enjoy working across the
full variety of our service capability.
Our team is based in our London office but supports clients
nationally and internationally.
Our work
We provide wide-ranging tax and legal advice support to companies,
including: designing, drafting and implementing a full suite of
statutory and bespoke equity incentives and cash-based bonus plans for
employees, NEDs and consultants. We support employers in relation to
de-risking and optimising remuneration arrangements and supporting
evolution of reward planning as a business scales in size and as it
expands globally. We provide employer support through the hire to
retire/fire lifecycle, including aligning award terms with applicable
governance requirements and crafting on-boarding offers and
termination packages.
We do not only work for employers. Our top tier employment practice
is often instructed by individual executives, sometimes in high
profile and contentious matters. Our incentives team will support and
advise in relation to the equity incentives elements of the
compensation arrangements, frequently adding value by helping to
negotiate more favourable outcomes for our clients.
We ensure we understand our clients' objectives and aims (near-term
and longer-term too) and work with them to identify, design and
implement remuneration and incentive solutions that are most
appropriate for their needs and circumstances.

We advise businesses across all sectors, including entertainment,
life-sciences, technology, fashion, energy and private equity.
We advise private and quoted businesses of all sizes, whether
headquartered in the UK or abroad, including FTSE listed companies,
global private and family-owned businesses, high growth
entrepreneurial businesses, private equity backed companies and
employee-owned businesses.
We also advise management teams on their equity arrangements,
including in relation to market practice and trends and we also
support individual executives and non-executives (including
non-resident directors and those who are globally mobile).

Skills/Experience
This is a rare and exciting opportunity to join a highly reputable
Incentives team. Prospective candidates will demonstrate
entrepreneurial flair and gravitas in order to flourish in our dynamic
working environment. In addition to a strong academic background,
candidates will have excellent technical skills (including good
understanding of the UK tax aspects of typical award arrangements)
with a keen eye for detail.
Excellent written and verbal communication skills are a pre-requisite
as are organisational and top-rate client care skills.
There is a high level of responsibility from the outset, so our team
are naturally self-motivated, enthusiastic and possess a positive
attitude towards the challenges and opportunities of carrying and
managing a diverse and busy caseload. Successful candidates will need
to be able to inspire the trust and confidence of clients and senior
colleagues, with a real focus on building long lasting relationships.
Candidates will be creative legal thinkers who are able to approach
matters both from a legal as well as a commercial perspective.
Candidates should also possess a willingness to actively develop
their own experience and knowledge and, in time, practice and profile,
by undertaking business development activities on behalf of the team,
both internally and externally. We're looking for candidates between
newly qualified level and up to three years' PQE and we are committed

Attributes
Demonstrable passion for employee incentives and share plans work.
NQ-3 years PQE gained at a reputable law firm.
Solid background working within employee incentives and share plans.
Experience of handling both advisory matters such as the design
and implementation of incentive structures as well as assisting with
corporate transactions (including take-privates, mergers and
acquisitions and IPOs).
A strong knowledge and understanding of tax relating to employee
share plans and employment-related matters.
Excellent attention to detail and organisational skills.
Excellent writing skills, with strong drafting abilities.
Ability to effectively manage own workload, undertaking a truly
client facing role.
Ability to communicate effectively with people at all levels, both
internally and with clients.
Ability to work independently and as part of a team.
Able to coach and supervise trainees, nurturing their career potential.
