In terms of investor-led work, we focus on advising entrepreneurial

Duties and Responsibilities
This is a broad-based role, where you will have the opportunity to
work on multiple elements of transactions including disposals,
acquisitions and investment work. The work will have a private equity
flavour, as set out below:
Preparing and negotiating M&A heads of terms
Preparing and negotiating equity term sheets
Preparing and negotiating share sale and purchase agreements
Reviewing and negotiating equity documents (shareholders'
agreements, articles of association, loan notes, etc)
Preparing and negotiating management warranty deeds
Preparing and negotiating disclosure letters
Liaising with W&I brokers
Managing transactions and completions
Assisting with drafting and managing precedents
Publishing articles
Actively participating in business development
Skills/Experience
The ideal candidate will be working in a highly regarded corporate
law practice, with 2-4 years PQE. An interest in Private Equity is essential.
Experience of advising business founders, management teams and the
investors of private capital is helpful, but not a pre-requisite. We
can teach you. What we do need you to bring is the desire and drive
to help us continue to build our unique, market-leading team.
Commercial and driven with an interest in business development and
marketing activities.
Excellent attention to detail, listening skills and organisational skills.
Ability to effectively manage own workload.
Ability to communicate effectively with people at all levels and
develop strong relationships both with clients and colleagues across
the firm.
