Our Corporate/M&A team is a full service practice advising on
cross-border and domestic M&A, private equity, venture capital,
joint ventures, disposals, W&I insurance, governance, franchising,
general commercial and corporate advisory matters as well as advising
across the life cycle of energy and natural resources projects.
Working across 3 of our corporate partners in Brisbane, this is an
exciting opportunity for a dynamic Senior Associate to join a close
knit, and highly collaborative team. You will work on a broad variety
of complex matters, with an enviable list of high profile clients.
Examples of some of the matters the group has worked on recently include:
Acting for Stanmore Resources on multiple M&A matters,
including acquisition of the BHP Mitsui coal business and disposal
of mining assets to Peabody.
Acting for Tokyo Gas on the disposal of its minority interests in
four Australian LNG projects (deal value USD 2.15bn)
Acting for Petstock Group in relation to the sale of a 55%
interest to Woolworths (deal value $1.5bn)
Acting for GreenFort Capital in relation to a joint venture with
Gaw Capital to develop a portfolio of land lease communities
Acting for Sandvik on multiple acquisitions, including Deswik and
Polymathian Industrial Mathematics
Acting for Shell QGC on the sale of an interest in its mid-stream
LNG assets and on a range of native title and cultural heritage matters
Acting for Arrow Energy on a variety of contracting and land
access matters.
Responsibilities
Advising a variety of clients across a broad range of sectors
including consumer markets, technology, financial services, tourism
and leisure, mining, oil and gas, renewables and power
Advising clients on mergers and acquisitions, joint ventures,
capital raisings, W&I insurance, native title, international
expansion and market entry, franchising and commercial law
Due diligence and drafting/negotiating documents for complex
commercial transactions
Actively participate in business development and marketing initiatives
Requirements
5+ years' PQE gained within a corporate and commercial practice in
an international or top tier law firm
A strong desire to work on high profile, complex transactions.
Excellent analytical, drafting and communication skills
Exceptional client liaison skills and acute commercial acumen are
considered essential
