The team

Spanning all three of our UK based offices and working closely together, the Commercial department is made up of over 60 lawyers in total. John Buyers (Partner) leads the team and is based in London, the rest of the London team is made up of 8 further Partners, 1 Legal Director, 6 Associate Directors, 9 Senior Associates, 10 Associates, a Commercial Legal Manager and 4 Trainee Solicitors.

The role

This role will work closely with Ian Solomon (Commercial Legal Manager) who leads Commercial due diligence support for our Corporate team. The transactions requiring support are predominantly M&A and require Commercial DD with a focus on Commercial contracts, Data Protection, IT arrangements and intellectual property licences.

You will support Ian in liaising with the Corporate lead on the scope and timing of the due diligence and provide document reviews within that scope. For specialist areas the other members of the Commercial team will be able to provide support.

The key focuses of the role are as follows:

  • Document reviews and summaries
  • Supporting due diligence work on substantial corporate transactions
  • Drafting of Commercial sections of Due Diligence report
  • Support to the wider Commercial team where required

Technical Skills and Experience

We are looking for a Paralegal to join the team, although we are willing to consider candidates with more or less experience. Previous experience of working within a Commercial department is advantageous, but this is not a pre-requisite.

In addition, you will have:

  • Good technical abilities to adapt to and understand new systems;
  • The ability to remain calm under pressure, demonstrating prioritisation and internal client support skills;
  • Scrupulous attention to detail;
  • The ability to clearly escalate any issues to specialists and work with supervising senior lawyers;
  • The ability to competently produce and format documents;
  • Experience using of various computer packages, Outlook, Word, Excel; and
  • Past Due Diligence experience (advantageous but not prerequisite).
