Osborne Clarke LLP's banking team
is a well-established, in certain cases market leading, practice
that has enjoyed remarkable growth, most recently in the City where
it is now a 7-partner team. We have strong relationships with all
the UK's major clearing banks and we are fully integrated into OC's
international network. The team's reputation is particularly strong
in the firm's key sectors of technology, media and comms; financial
services and the built environment.
The team advises on corporate
lending, fund finance, venture debt, leveraged finance, ABL, project
finance and real estate finance.
The practice
This role will primarily be
focussed on corporate lending and leveraged finance work, areas in
which we have a well-established and growing profile and in which
further strategic growth is envisaged. The successful candidate will
also expect to gain exposure to the banking team's other core
offerings described above.
The team has nurtured
relationships with a number of active financial institutions
(including credit funds) and intermediaries, and we advise a number
of the leading corporates in our markets and chosen sectors. We
advise on financings across the capital stack as well as stressed
and special opportunities investments. Alongside this, we provide
debt finance support to the firm's well-reputed mid-market private
equity team in the context of leveraged and management buy-outs,
refinancings and exits, as well as advising many corporates. It is
expected that the successful candidate will work closely with our
private equity team supporting our financial sponsor clients.
The team also has significant
experience advising on financial restructurings alongside Osborne
Clarke's specialist insolvency team.
The team
The UK banking team, located
across our London, Bristol and Thames Valley offices, currently
consists of 9 Partners, 1 Legal Director, 6 Associate Directors, 6
Senior Associates, 9 Associates, 6 Trainee Solicitors and 4
Paralegals. This role will report to Tom Bussy (Partner). Ben
Truman, based in London, leads the team.
Technical skills and experience
You will preferably have done a
mix of corporate lending work and leveraged finance work within a
stand-alone finance or banking team at a leading national or
international firm.
The candidate will have excellent
transaction and conditions precedent management skills and so be
capable of running or supervising this aspect of the deal, as
required. The successful candidate will support the development of
more junior team members.
The ideal candidate will also have
attained a degree of proficiency in drafting and reviewing facility
agreements, intercreditor/subordination agreements, security
documentation and legal opinions, as well as bid commitment papers.
Due to the nature of the work and
the structure of the team, we are looking to appoint a Senior
Associate in this area, although we may consider candidates with
more or less experience.
