Squire Patton Boggs is hiring a mid
to senior level Corporate Securities Associate with five (5) or more
years of experience in public company securities and governance to
be a part of its sophisticated and highly collaborative corporate
practice. This position can be based in any of our US offices. The
individual hired should be prepared to take the lead role or a
primary role in SEC and financial reporting matters for key clients
and be part of a growing local and global team. The candidate can
also expect to be involved with a variety of assignments and receive
valuable hands-on experience across a diverse range of disciplines,
including representing public and private companies in connection
with general corporate and securities laws matters, securities
offerings, corporate governance, and mergers & acquisitions.
Responsibilities
The position offers the successful
candidate an opportunity to have a leading role advising firm
clients on SEC disclosure, reporting and compliance, securities
offerings, and other corporate and securities law matters, and will
play a role in managing client relationships.
Academic and Professional Qualifications
U.S. Juris Doctor Degree
Admitted to practice in a U.S.
State Bar and be in good standing. Admission to the State Bar of
your office location is expected if not currently admitted.
A minimum of five (5) years of
meaningful experience in a law firm or with a large public
company, leading 34 Act compliance reviews, and providing
substantial support on public company corporate governance, public
and private debt and equity offerings, proxy statement preparation
and annual meeting cycle management. Experience advising on
executive compensation and equity plan matters would be helpful.
Knowledge, Skills & Experience
First or second chair experience
advising on securities regulations, including securities law
disclosures and financial reporting, compliance and disclosure
issues, shareholder meeting matters, stock exchange listing
requirements, corporate governance, board matters, and executive
and equity compensation.
Experience representing issuers,
underwriters, placement agents and purchasers in public and
private equity offerings and in various offerings in the capital
markets, including issuances of secured and unsecured debt,
tax-exempt bonds, common stock, preferred stock, and convertible debt.
Demonstrated capability to lead
matters with minimal supervision, while working in a collaborative environment.
Ability to exercise good judgment
under pressure while addressing sophisticated legal issues.
Positive, can-do, and proactive attitude.
Excellent verbal and written
communication and organizational skills.
Strong analytical capability and
detail orientation.
Flexible, composed, and able to
prioritize and handle multiple clients and client matters
simultaneously, with a high level of competence and accuracy.

The salary range for this position
is $235,000 to $330,000 per year, depending on skills and
