The opportunity

We are looking for a mid-level Associate to join our Intellectual Property team to work on transactional matters. The post holder will be expected to advise our existing client base in relation to a range of transactional and non-contentious IP matters, including M&A, equity capital markets, spin-outs, investment rounds, restructurings, joint ventures, licensing, collaborations and financings. Experience and capability in relation to regulatory matters in the context of transactions would also be welcome.

You will be expected to apply your IP knowledge to assist our clients, across a range of technically complex industries, to reach commercial solutions to the legal issues that they face. The firm advises in a way that supports our clients' strategic objectives and is practical and commercial.

What you'll do

  • Working with the IP and corporate teams on the full range of intellectual property rights on M&A and related transactions.
  • Conduct due diligence exercises on Targets and vendors, and report on findings and recommendations.
  • Be responsible for the IP drafting in deal documentation, we well as supporting or standalone IP documentation such as assignments, licences and collaborations.
  • Take ownership of IP provisions and structuring in a wide range of commercial contracts.

About you

As a member of one of the largest departments in the London office, the successful candidate will have:

  • Excellent academic achievement.
  • Solid transactional experience in an Intellectual Property department within a respected law firm.
  • Proven experience of handling complex matters gained within a comparable environment and at an appropriate level.
  • A desire to be working for a truly international firm.
  • A clear understanding of the operation and structure of a commercial law firm.
  • A desire to assist the IP partners to develop the practice and support the strategic objectives of the firm.

Your technical skills

  • Strong knowledge of substantive IP law across all IP rights.
  • Excellent drafting skills across a range of IP documetantion.
  • Ability to negotiate IP documentation.
  • Ability to identify IP risks on transactions, and advise in a commerical pragmatic way, with suggested mitigations.
  • Be super responsive when deals are live.
  • The ability to manage aspects of complex IP matters at an appropriate level, working efficiently and effectively alongside the partners and other specialist teams.
  • Knowledge of key areas of the law by providing clear, precise, practical advice.
  • The ability to liaise effectively with other fee earners from within the group, and also to liaise and coordinate with fee earners from other relevant disciplines and jurisdictions as required.
  • Demonstrating an appreciation of client needs and priorities.
  • Demonstrating knowledge of key areas of the law by providing clear, precise, practical drafting and advice. Delegation and supervisory skills where appropriate.
  • The willingness and ability to support business development activity, creating and maintaining strong client relationships and identifying new business opportunities.
  • A commitment to regularly update your own technical expertise and to achieve continuous improvement and development.
  • The ability to contribute to the general upkeep of the group (whether that be training, precedents, or know-how generally)
