Department
Our Corporate M&A and ECM team
advise both listed and private companies, as well as investment
banks, on domestic and cross-border M&A and equity offerings. We
have expertise in the public takeover space, regularly advising
bidders, targets, and financial advisers in relation to public
takeover situations.
We act as retained counsel for over
60 listed companies, several of them within the FTSE 100 and FTSE
250 index. Our Listed Company Advisory team support our listed
company clients by providing tailored, practical advice on a wide
range of corporate governance, ESG, reporting and stakeholder
engagement requirements.
The Role
To support the continued growth of
the team, we are currently recruiting a talented and driven
associate to join us on a permanent basis. This role is an
opportunity for the successful candidate to take on a significant
amount of client contact and responsibility whilst working in a
collaborative environment to provide advice and assistance to high
quality clients across a wide range of sectors and matters. The
successful candidate will also have significant opportunities to
contribute to the wider activities of the team, including in
relation to Business Development and Learning & Development.
Key Responsibilities
While distribution of work will vary
from time to time, it is our full expectation that an Associate will
gain experience across the full range of matters that make up the
team's practice. Typical work will therefore include (but not be
limited to) the following:
Transactional
Providing legal advice and support on
a range of transactional corporate matters including acting for:
Corporate clients, management teams
and individuals (both buy-side and sell-side) on a range of UK and
international private M&A transactions (including acquisitions
and disposals, bolt-on acquisitions, mergers, joint ventures,
subscription/equity investments).
Bidders, target companies and
financial advisers on public M&A transactions (including
contractual takeover offers, schemes of arrangement, public to
private transactions and cash confirmations).
Corporate issuers, investment
banks, selling shareholders and management teams on a range of
equity capital markets transactions (including IPOs (on the
Official List and AIM), secondary offerings (including placings,
rights issues and open offers) and other matters, such as class 1
transactions, reverse takeovers, related party approvals, block
trades and tender offers).
Typical work on such matters will include:
Drafting, reviewing and negotiating
transaction terms and documents including share purchase
agreements, prospectuses and other offer documents.
Undertaking legal due diligence and
verification, including reviewing documents and advising on any
risks or concerns.
Advising on regulatory compliance,
including advising on the Companies Act, the Listing Rules, the
Takeover Code and other relevant regulations.
Managing the transactions including
preparing timetables, managing deal teams, and monitoring progress.
Attending client meetings and
contributing to the development of client relationships
Liaising with clients, other
lawyers, accountants, and other advisors.
Advisory
Providing legal advice and support on
a range of lifecycle events for both listed and private clients, and
their group companies including advising on:
General company law, compliance,
governance and regulatory matters.
Shareholder meetings.
Share restructurings and group reorganisations.
Returns of capital.
Shareholder activism.
Other
Supporting business development
initiatives, including writing client briefings and attending
networking events.
Supporting learning and development
initiatives, including delivering training (internally and
externally), assisting with precedents and tech initiatives within
the team.

Person Specification -
Knowledge, Skills and Experience
An outstanding academic record.
E&W/Irish Qualified Solicitor.
Experience and technical competence in
advising on Corporate M&A and/or ECM matters (commensurate with
1-5 PQE level).
Evidence of strong verbal and written
communication skills.
Evidence of strong legal research and
analytical skills.
Strong organisational skills with an
ability to manage multiple tasks and projects.
A team player who thrives working
within a collegiate environment.
A willingness to show commitment and
engagement to the firm's culture.
